WavePay Terms and Conditions

Welcome to WavePay! These Terms and Conditions (“Terms”) govern your use of the WavePay mobile application, website, and related services (collectively, “Services”), provided by WavePay, a virtual payment platform operating in Nigeria with ambitions to serve Africa. By accessing or using our Services, you agree to be bound by these Terms. If you do not agree, please do not use WavePay.

1. Acceptance of Terms
Eligibility: You must be at least 18 years old and legally capable of entering into contracts to use WavePay. By registering, you confirm you meet these requirements.
Updates: We may modify these Terms at any time. We’ll notify you of significant changes via email or in-app alerts. Continued use after updates constitutes acceptance of the revised Terms.
2. Description of Services
WavePay enables you to:

Send and receive money using QR codes or direct transfers.
Make payments to merchants.
Manage transactions across supported African payment systems.
Our Services are provided “as is” and may evolve as we expand features and regions.

3. Account Registration and Security
Registration: To use WavePay, you must create an account with accurate details (e.g., name, email, phone number). You’re responsible for keeping this information current.
Security: Protect your login credentials (password, PIN). You’re liable for all activities under your account unless you promptly report unauthorized access to us.
Verification: We may require KYC documentation (e.g., ID, selfie) to comply with Nigerian laws. Failure to provide this may suspend your account.
4. Use of Services
Permitted Use: Use WavePay only for lawful transactions as intended (e.g., personal transfers, merchant payments).
Prohibited Activities: You may not:
Engage in fraud, money laundering, or illegal activities.
Attempt to hack, reverse-engineer, or disrupt our Services.
Use WavePay for commercial resale unless authorized.
Transaction Limits: We may impose daily/monthly limits based on your account status or regulatory requirements.
5. Fees and Payments
Fees: We may charge fees for certain transactions (e.g., withdrawals, currency conversion). Current fees are displayed in the app before you confirm a transaction.
Payment Responsibility: Ensure sufficient funds in your linked account or wallet. Failed transactions due to insufficient funds may incur penalties.
Refunds: Refunds are processed only for failed transactions attributable to WavePay errors, at our discretion.
6. Transaction Processing
Execution: Transactions are processed via integrated payment APIs and third-party partners (e.g., banks, mobile money providers). We’re not liable for delays or errors caused by these partners.
Irreversibility: Completed transactions are final unless reversed by WavePay due to fraud or error. Contact support within 24 hours if you suspect an issue.
Records: You can view transaction history in the app. Retain these for your records, as required by law.
7. Intellectual Property
Ownership: WavePay, including its design, code, and branding, is our property or licensed to us. You’re granted a non-exclusive, revocable license to use the app for personal transactions.
Restrictions: Do not copy, modify, distribute, or create derivative works from WavePay without our written consent.
8. Privacy
Your data is handled per our Privacy Policy (linked in the app). By using WavePay, you consent to our collection, use, and sharing of your information as described there.

9. Suspension and Termination
By You: Close your account anytime via app settings, subject to settling outstanding transactions.
By Us: We may suspend or terminate your account if you:
Breach these Terms.
Engage in suspicious or illegal activity.
Fail to complete KYC verification.
Effect: Termination ends your access to Services, but we may retain data as required by law (e.g., 7 years for transaction records in Nigeria).
10. Limitation of Liability
No Warranties: WavePay is provided “as is” without guarantees of uninterrupted or error-free service.
Liability Cap: Our total liability to you for any claim arising from these Terms or Services is limited to the amount of fees you paid us in the last 6 months.
Exclusions: We’re not liable for:
Losses from unauthorized access you fail to report.
Third-party service failures (e.g., banks, internet providers).
Indirect damages (e.g., lost profits, data loss).
11. Indemnity
You agree to indemnify WavePay, its affiliates, and remote team members against claims, losses, or damages arising from your misuse of Services or breach of these Terms.

12. Governing Law and Dispute Resolution
Law: These Terms are governed by the laws of Nigeria.
Disputes: Any disputes will first be addressed through good-faith negotiation. If unresolved, they’ll be settled in a competent court in Lagos, Nigeria.
13. Force Majeure
We’re not liable for delays or failures due to events beyond our control (e.g., natural disasters, government actions, network outages).

14. Miscellaneous
Entire Agreement: These Terms, with the Privacy Policy, form the full agreement between you and WavePay.
No Waiver: Our failure to enforce any right doesn’t waive it.
Severability: If any clause is invalid, the rest of these Terms remain enforceable.
Virtual Operation: WavePay operates remotely; no physical office visits are supported.
